Every document needed for SPICe+ private limited company incorporation on the MCA V3 portal, from director ID proof to registered office evidence — a practical Raipur checklist.
The paperwork side of incorporating a company trips people up more than the legal concepts do. Someone planning to start a private limited company in Raipur usually understands the basic idea — two directors, a registered office, shares to allot — but then gets stuck halfway through the SPICe+ form because a scanned utility bill is three months old, or a proposed director's PAN doesn't match their Aadhaar spelling exactly. This is the checklist to work through before you sit down to file, not after.
Identity and address proof — for every proposed director and subscriber
Every person who will be a director or a shareholder (subscriber) at incorporation needs:
- PAN card — mandatory for every Indian resident director/subscriber; this is the single most important document since name mismatches against PAN records are the most common rejection reason
- Aadhaar card
- One additional address proof, not older than two months: bank statement, electricity bill, or mobile/telephone bill
- A recent passport-size photograph
For a director who is a foreign national or an NRI, a passport is mandatory (not optional the way it is for resident Indians), along with proof of address in their country of residence, notarised or apostilled depending on the country.
Registered office proof
The company needs a documented registered office address at the time of incorporation — this doesn't have to be a commercial space; a residential address works, but the paperwork requirement is the same either way:
- Utility bill (electricity, water, or gas bill) for the premises, not older than two months at the time of filing — an old bill is one of the more common avoidable rejections
- No-Objection Certificate (NOC) from the property owner if the premises is rented or not owned by one of the directors/subscribers themselves
- Rent agreement, if applicable
Digital Signature Certificates (DSC)
Before you can file anything on the MCA V3 portal, every proposed director needs a Class 3 Digital Signature Certificate. This isn't a formality that happens automatically alongside incorporation — it's a separate step you need to complete first, since the entire SPICe+ form is digitally signed. Budget a few days for DSC issuance before you plan to start the actual filing, particularly if a director is based outside Raipur or outside India, since video verification and document courier can add time.
Minimum structural requirements
- At least two directors, one of whom must have stayed in India for a specified minimum number of days in the preceding financial year (the "resident director" requirement) — a company with entirely NRI/foreign directors cannot incorporate without satisfying this.
- At least two shareholders for a private limited company (the same two people can be both directors and shareholders — this is the standard structure for most small companies).
- A registered office in India, as covered above.
Name reservation
Before incorporation itself, Part A of SPICe+ handles name reservation. Have two to three name options ready, each checked in advance against:
- The MCA's own existing company/LLP name database, for exact or deceptively similar matches
- The trademark registry, for names that conflict with an existing registered trademark in a related business class
Part A approval, once granted, is valid for a limited window (currently 20 days) — if you don't complete Part B (the actual incorporation filing) within that window, the reserved name and the fee paid for it lapse, and you're back to square one. Don't reserve a name months before you're actually ready to file the rest of the paperwork.
What SPICe+ bundles together
The current SPICe+ process on the MCA V3 portal is genuinely integrated — a single filing, done correctly, delivers not just the Certificate of Incorporation but also PAN and TAN automatically, and through linked forms like AGILE-PRO-S, applications for GSTIN, EPFO registration, ESIC registration, and a bank account opening request can be bundled into the same submission. This is worth knowing because it changes the practical sequencing: you don't need to separately visit the income tax department for PAN/TAN after incorporation the way older processes required, though GST registration approval and bank account activation still involve their own follow-up steps even when initiated through the same form.
What happens after incorporation — the part people forget
Getting the Certificate of Incorporation is the beginning of compliance, not the end of the paperwork:
- Open the company's current bank account and deposit the subscribed share capital within the timeline the Companies Act requires for commencement of business.
- File the declaration for commencement of business (Form INC-20A) within 180 days of incorporation — a company that doesn't file this on time faces restrictions on borrowing and can attract penalties, and this is one of the most commonly missed early filings for first-time promoters.
- Maintain statutory registers from day one — the Register of Members and other registers required under the Companies Act aren't optional extras to set up "later."
- Set up your accounting and GST compliance calendar immediately if the company is GST-registered, rather than waiting for the first return due date to arrive as a surprise.
Treat the SPICe+ filing as the start of a compliance relationship with the ROC, not a one-time task you complete and forget about.
